Description of Items Being Sold: All right, title and interest of Weiss Sheet Metal Company (“Weiss”) in and to the following described personal property assets:

(a) all accounts and all inventory whose sale, lease, or other disposition has given rise to accounts and have been returned to, or repossessed or stopped in transit by, such grantor; (b) all chattel paper, instruments, documents and general intangibles (including all intellectual property, software, franchises, customer lists, tax refund claims, claims against carriers and shippers, guarantee claims, contract rights, payment intangibles, supporting obligations, security interests, security deposits and rights to indemnification); (c) all goods including equipment, fixtures and inventory; (d) all investment property; (e) all deposit accounts, bank accounts and all deposits and cash; (f) all letter-of-credit rights; (g) all commercial tort claims; (h) any other property of now or hereafter in the possession, custody, or control of the secured party or any agent or any affiliate of the secured party or any participant with secured party in the loan made pursuant to the loan agreement, for any purpose (whether for safekeeping, deposit, collection, custody, pledge, transmission or otherwise); and (i) all additions and accessions to, substitutions for, and replacements, products and proceeds of the foregoing property, including proceeds of all insurance policies insuring the foregoing property, and all of such grantor’s books and records relating to any of the foregoing and to such grantor’s business.

Once you have returned the completed Confidentiality Agreement, you will be given access to the On Line Web Based Data Room and Terms of Sale detailing how to become a Qualified Bidder at the virtual public auction to be conducted via ZOOM.

You must comply with the instructions to become a Qualified Bidder in order to bid at the Auction via ZOOM.  Only Qualified Bidders will be given access information to participate in or view the Auction Sale via ZOOM. Your failure to timely satisfy all the conditions to become a Qualified Bidder means you will not be able to bid at the virtual Auction to be conducted via ZOOM.
